I. Services
Werb Consulting AG (WCAG) offers consulting services in recruiting senior management and specialists. These include: -Creation of a Job profile coordinated with the client, -Identification, selection and addressing of suitable candidates, -Personal interviews with suitable candidates, -Delivery of detailed CV with all relevant data of interesting candidates (Education, Professional experience, qualifications, contract situation, motivation to change, references if already necessary at this time), -Presentation of selected candidates by an interview with the client (if requested), -Assisting the client in the final selection of the candidate, -Return of the application documents of unelected candidates, -Onboarding: Upon request, client support at the integration of candidates in the company. Due to the specific requirement profiles, WCAG conducts solely direct searches. The assignment of WCAG can be made written or verbally.
II. Timeframe
The duration of a search project until delivery of the first short reports is about 4-6 weeks after order confirmation. WCAG continuously informs the client about the status of projects and immediately delivers all project-related information and documents, as far as this is legally permissible or has been approved by the applicant.
III. Fee
WCAG receives a retainer fee of 25 percent of the candidates annual on target earning (fixed salary plus bonus for 100 percent target achievement). The fee covers all WCAG services in connection with the contractually agreed service. The fee is due to the following process steps: 1/3 at the beginning of the project, 1/3 after presentation of at least 2 suitable profiles, 1/3 after conclusion of an employment contract for the advertised position with the candidate of choice. If, in the context of the cooperation, the opportunity arises to fill a position other than that defined with an existing assignment, WCAG will charge a fee in accordance with the above-mentioned contract. Conditions. The same applies if a contract of employment is concluded within one year with one of the proposed candidates. Expenditures (travel, expenses for consultants and candidates) are charged only when produced. The services of WCAG are subject to the reverse charge procedure (UST-ID CHE-374.092.806). All bills are due to payment within 30 days of receipt.
IV. Project duration/Guarantee
A search project begins with the placement of an order and ends when a suitable candidate for the respective position has been contracted. However, WCAG, like the client, can terminate the project contract with a notice period of 2 weeks if no search success occurs within a timeframe of six months after the start of a search. In this case, only the work done so far in accordance with § III will be charged. WCAG will repeat a search once free of charge if a selected candidate leaves the company within the first six months. In this case, WCAG only charges the new travel expenses/expenses of the consultant. A refund of the fee is excluded. The right to the fee and any incidental costs exists even if the contract of employment is terminated by the client before commencing work. As soon as the position has been filled, regardless of the candidate source, the warranty claim is deemed to be settled. This also applies in the event that the client decides not to fill the position any more. A search will not be repeated free of charge if a candidate is dismissed because of layoffs, restructuring or similar measures in the company.
V. Confidentiality
The effectiveness of WCAG work largely depends on the extent to which the client's strategy and corporate policy are understood. The client ensures that WCAG receives all documents and information necessary for the execution of the order. WCAG will at no time disclose client-related data and information other than necessary to fulfill the order. WCAG guarantees the client absolute confidentiality in this context. Documents and information on candidates (f.e. application documents) provided to the client are intended solely for this purpose. The client is not entitled to pass on documents and information about the candidates – either in original or copy – to third parties. The Parties commit themselves to keep the information described above secret to third parties.
VI. Exclusivity
In order to achieve the common goals in addressing and acquiring the most suitable and best candidates as well as to avoid irritation and indiscretions in the market through multiple players, WCAG only conducts searches exclusively. WCAG obliges not to search candidates in the client's company during the duration of a project.
